TOGETHER, CREATING AUSTRALASIA’S LARGEST NON-BANK CONSUMER LENDER

hummgroup and Latitude Group have entered into a binding, definitive agreement to sell humm consumer finance (HCF) to Latitude.

The HCF Sale is subject to humm shareholders’ approval at the General Meeting on June 23 2022. In addition, at the General Meeting, shareholders will also be asked to consider approving the Capital Return, as well as other ancillary resolutions. 

Information about each of these resolutions can be found in the Explanatory Booklet, which includes the Notices of General and Scheme Meeting along with details on how to participate and vote.

EXPLANATORY BOOKLET

An Explanatory Booklet has been prepared in connection with the Scheme and the HCF Sale and is now available to view, now available to view, together with sample proxy and election forms.

The Explanatory Booklet includes information to help shareholders understand the resolutions at the General Meeting:

  1. the resolution to approve the HCF Sale
  2. the Capital Return Resolution 
  3. the Ancillary Resolutions

It also includes information about the nature and effect of the Scheme, given that the Scheme can only proceed if it is approved by the requisite majorities of shareholders.
